UDOIT™ Terms of Use

Welcome to UDOIT. These Terms of Use (“Terms”) govern your access to and use of the UDOIT mobile application and related services (the “Service”) operated by UDOIT, Inc. (“UDOIT,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Service. If you have questions, contact us at contact@udoit.app.

1. Eligibility and Account Registration

You must be at least 13 years old to use the Service. By using UDOIT, you confirm that you meet this requirement.

If you are between the ages of 13 and 17, you may only use the Service with the knowledge and consent of a parent or legal guardian. By permitting a minor to use the Service, the parent or guardian assumes full responsibility for that minor’s activity, content, and compliance with these Terms. Minors should not share personal information publicly within the Service. We encourage parents and guardians to monitor their children’s use of the Service and to set appropriate expectations around social features and content sharing.

You may create an account using your email address or through third-party sign-in methods such as Google or Apple. You agree to provide accurate and complete information when creating your account.

You are responsible for maintaining the security and confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@udoit.app if you suspect unauthorized access to your account.

2. User Content

You may create, upload, and share content such as videos, photos, comments, and profile information (“User Content”).

You retain ownership of your User Content. By posting content, you grant UDOIT a worldwide, non-exclusive, royalty-free, perpetual, and sublicensable license to use, display, reproduce, distribute, modify, and promote such content in connection with operating and improving the Service. This license is granted at the time you agree to these Terms — no separate consent is required for each piece of content you post.

You represent and warrant that you own or have the necessary rights to all content you post, and that your content does not infringe the intellectual property, privacy, or other rights of any third party. UDOIT does not claim ownership of any third-party copyrighted material that users post without authorization.

All content you post or share within the Service will be visible to other users by default. Content may be copied, shared, or redistributed by others outside the Service. Please be thoughtful about what you share.

You agree not to post content that is unlawful, harmful, abusive, harassing, threatening, obscene, defamatory, or that infringes the rights of others.

3. Copyright, DMCA, and Content Reporting

UDOIT respects the intellectual property rights of others and expects users to do the same. If you believe content on the Service infringes your copyright, you may submit a formal takedown notice to contact@udoit.app.

To be valid, your notice must include:

  • Your full legal name, address, phone number, and email address

  • A description of the copyrighted work you claim has been infringed

  • The specific URL or location of the allegedly infringing content within the Service

  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law

  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on their behalf

  • Your electronic or physical signature

Submitting a false or fraudulent takedown notice may expose you to legal liability, including claims for damages and legal fees. UDOIT reserves the right to verify the identity and authorization of any claimant before acting on a notice.

We may remove or disable access to content that appears to infringe third-party rights and will notify the user who posted it where appropriate. We will terminate the accounts of repeat infringers.

Users may also report potentially infringing or policy-violating content in the feed directly through the in-app reporting feature.

4. Acceptable Use and Community Guidelines

You agree to comply with the UDOIT Community Guidelines, which are incorporated into these Terms by reference. Violating the Community Guidelines constitutes a violation of these Terms and may result in account suspension or termination.

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms

  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems

  • Upload harmful, malicious, or deceptive content

  • Harass, bully, threaten, or harm other users

  • Impersonate any person or entity or misrepresent your affiliation

  • Download, export, or screen-record videos or content from the Service feed for any purpose other than personal, non-commercial use

  • Use any content from the Service — including PlayMoves® routines, characters, music, or visual assets — to train, develop, or improve any artificial intelligence or machine learning model

  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the app or its AI systems

  • Resell, reskin, or redistribute the Service or any part of it

  • Use UDOIT PlayMoves, characters, music, logos, or brand assets in any commercial context without prior written permission

Personal, non-commercial sharing of your own gameplay videos and content on personal social media accounts (such as Instagram, TikTok, or YouTube) is permitted and encouraged, provided you do not misrepresent your affiliation with UDOIT or use the content for commercial gain. For brand ambassador, partnership, or sponsored content arrangements, a separate written agreement with UDOIT is required.

We may suspend or terminate accounts that violate these rules at our sole discretion, with or without prior notice.

5. Health, Fitness, and Physical Activity Disclaimer

UDOIT is not a medical service. The Service provides general fitness and movement content for informational and entertainment purposes only. Nothing in the Service constitutes medical advice, diagnosis, or treatment.

THIS APP IS NOT A SUBSTITUTE FOR MEDICAL ADVICE. CONSULT YOUR DOCTOR BEFORE STARTING ANY EXERCISE PROGRAM. STOP IMMEDIATELY IF YOU FEEL PAIN, DIZZINESS, SHORTNESS OF BREATH, OR ANY DISCOMFORT.

Before using the Service, you should consult a qualified healthcare professional, particularly if you have any of the following or similar conditions:

  • Cardiovascular, respiratory, or neurological conditions

  • Pregnancy

  • Orthopedic injuries or chronic pain

  • Diabetes or other metabolic conditions

  • Any condition that may be affected by physical activity

By using the Service, you acknowledge and agree that:

  • Physical activity involves inherent risks, including the risk of injury

  • You are voluntarily participating at your own risk

  • You are responsible for listening to your body and stopping any activity that feels unsafe

  • UDOIT does not verify or validate the safety or appropriateness of any specific movement or routine for your individual condition

  • AI-based motion scoring is provided for gameplay and entertainment purposes only and is not a fitness assessment or health evaluation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDOIT DISCLAIMS ALL LIABILITY FOR INJURIES, MEDICAL CONDITIONS, ILLNESSES, DAMAGES, OR DEATH THAT MAY RESULT FROM USING THE SERVICE. IF YOU EXPERIENCE A MEDICAL EMERGENCY WHILE USING THE SERVICE, CALL EMERGENCY SERVICES IMMEDIATELY.

6. AI and Motion Scoring

The Service uses artificial intelligence to analyze your movement via your device camera and provide real-time gameplay scoring. This scoring is provided for entertainment and gameplay purposes only. It is not a fitness assessment, measure of physical performance, or medical evaluation of any kind.

AI-generated scores may not be fully accurate and should not be relied upon as an indicator of actual physical ability or fitness level. UDOIT is not liable for any decisions made based on AI scoring outputs.

7. Subscriptions, Payments, and UCoins

Subscriptions

Some features of the Service require a paid subscription. All payments are processed exclusively through Apple’s App Store. UDOIT does not collect or store payment card information. All billing, payment security, and transaction records are governed by Apple’s terms and privacy practices.

Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. Apple will charge your selected payment method upon renewal. You will receive a renewal reminder from Apple prior to the charge in accordance with Apple’s notification practices.

A 7-day free trial may be offered to new subscribers. The trial begins when you select the subscription and confirm through Apple. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Canceling during the trial period will not result in a charge.

Subscription management, cancellations, and refund requests are handled exclusively by Apple. UDOIT does not have the ability to process refunds directly. To cancel your subscription, go to your Apple ID settings and manage your subscriptions.

UCoins

UCoins are virtual in-app currency that can be earned through gameplay or purchased through the App Store. UCoins have no cash value, are non-transferable, and cannot be exchanged for real money or redeemed outside the Service.

UDOIT reserves the right to change the price, availability, earn rates, and redemption value of UCoins at any time without prior notice. Promotional pricing, bonus coin offers, and earn rate changes are temporary and may be modified or discontinued at any time.

UDOIT also reserves the right to modify or discontinue the UCoins system entirely. In the event of discontinuation, we will make reasonable efforts to provide advance notice, but we are not obligated to provide refunds for UCoins that were earned through gameplay or purchased prior to discontinuation.

Upon account deletion, all UCoins balances are permanently forfeited and non-refundable.

Pricing Model Changes

UDOIT reserves the right to change its pricing model at any time, including transitioning to a fully paid model or a fully free model. If the Service transitions to a fully paid model, free users may lose access to certain features or content. If the Service transitions to a fully free model, previously paid subscriptions will not be eligible for refunds, as payments were made for access during the subscription period at the time of purchase.

8. Advertising

The Service may display advertisements served by Google AdMob and other third-party advertising partners. Ads may be personalized based on your device identifiers and usage data as described in our Privacy Policy.

Ad controls, such as closing an ad or reporting an ad as inappropriate, are provided within the ad unit by Google (for example, through the “X” button or “Why this ad?” link). Ad preference management is handled by Google AdMob, not by UDOIT. UDOIT is not responsible for the content of third-party advertisements.

9. Termination

You may stop using the Service at any time and delete your account within the app. Upon account deletion, your profile, content, UCoins balance, and gameplay data will be permanently deleted and cannot be recovered. Any active subscription must be canceled separately through Apple before account deletion to avoid continued billing.

UDOIT may suspend or terminate your access to the Service at any time, at the sole discretion of UDOIT, with or without cause, and with or without notice. Reasons may include but are not limited to violations of these Terms, unlawful activity, abuse of the platform, or operational or legal requirements.

UDOIT also reserves the right to modify, suspend, or discontinue the Service — in whole or in part — at any time, with or without notice, and without liability to you. We will make reasonable efforts to communicate significant service changes in advance where possible.

10. Intellectual Property

All rights in and to the Service — excluding User Content — belong to UDOIT, Inc. or its licensors. This includes but is not limited to the UDOIT and PlayMoves trademarks, the app design and interface, all PlayMoves routines and choreography, characters, animations, visual assets, music, scoring systems, and underlying technology including AI and motion tracking systems.

Without prior written permission from UDOIT, you may not:

  • Copy, reproduce, distribute, or publicly display any part of the Service

  • Download or export PlayMoves, videos, characters, or any other content from the Service for commercial use

  • Use UDOIT brand assets, logos, music, or characters in any commercial context

  • Use any content from the Service to train, fine-tune, or develop artificial intelligence or machine learning models

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the app or its AI systems

  • Resell, reskin, rebrand, or create derivative products based on the Service

Personal, non-commercial sharing of your own gameplay videos on personal social media accounts is permitted. For commercial use, brand partnerships, or ambassador arrangements, a separate written agreement with UDOIT is required.

Unauthorized commercial use of the intellectual property of UDOIT may result in account termination and legal action.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR RELIABILITY OF ANY AI-BASED OR USER-GENERATED OUTPUT. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDOIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO:

  • Your use or misuse of the Service

  • Any physical injury, medical condition, or health consequence arising from use of the Service

  • Unauthorized access to your account or data

  • Any interaction with other users, whether online or in person

  • Loss of UCoins, subscription access, or progress data

  • Any content posted by users or generated by AI systems

  • Any modification, suspension, or discontinuation of the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE TOTAL AMOUNT YOU PAID TO UDOIT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Assumption of Risk and Release

By using the Service, you voluntarily assume all risks associated with physical activity, including the risk of injury, illness, or death. You release UDOIT, its officers, directors, employees, and affiliates from any and all claims, demands, or causes of action arising from or related to physical activity undertaken in connection with the Service, to the fullest extent permitted by applicable law.

This release does not apply to claims arising from gross negligence or intentional misconduct by UDOIT.

14. Indemnification

You agree to indemnify and hold harmless UDOIT, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses — including reasonable legal fees — arising out of or in any way connected with:

  • Your access to or use of the Service

  • Any physical injury or health complication arising from your use of the Service

  • Your violation of these Terms or the UDOIT Community Guidelines

  • Your User Content or your use of others’ content

  • Your interactions with other users

  • Any misrepresentation you make in connection with the Service

15. Arbitration and Dispute Resolution

You and UDOIT agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court. This means you waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.

Arbitration will be conducted by JAMS under its applicable rules, in Dallas, Texas, or via remote hearing if mutually agreed. The decision of the arbitrator will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to contact@udoit.app within 30 days of first creating your UDOIT account. Your notice must include your name, email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Texas.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date and notify you within the app or by email where required. Continued use of the Service after updated Terms become effective constitutes your acceptance of the changes.

18. Miscellaneous

  • Entire Agreement: These Terms, together with the UDOIT Privacy Policy and Community Guidelines, constitute the entire agreement between you and UDOIT regarding the Service.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

  • No Waiver: Failure by UDOIT to enforce any provision of these Terms will not be deemed a waiver of that provision.

  • Non-Transferability: You may not transfer or assign your rights under these Terms without the prior written consent of UDOIT. UDOIT may assign its rights without restriction.

  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
